Welcome to Billin. By accessing or using our app (the "App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.

1. Use of the App

• You must use the App in compliance with all applicable laws and these Terms.
• You are responsible for any content (including invoice data) you create, upload, or otherwise provide through the App.
• You agree not to use the App in any manner that could damage, disable, overburden, or impair our servers or networks.
• You acknowledge that the App is intended for business and professional invoicing purposes only.

2. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• Please notify us immediately of any unauthorized use of your account.
• You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
• You may not transfer or assign your account to any third party without our prior written consent.
• We reserve the right to disable any user account if we reasonably believe you have violated these Terms.

3. Payments and Refunds

• All payments made to Pale Blue Software Ltd for the use of Billin, including but not limited to subscription fees, one-time purchases, upgrades, and any other charges, are final and non-refundable.
• By making a payment, you acknowledge and agree that you will not be entitled to any refund, whether full or partial, for any reason, including but not limited to: cancellation of your subscription, termination of your account, dissatisfaction with the service, unused portion of a subscription period, or changes to the App's features or functionality.
• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) and are non-refundable regardless of whether you use the App during the billing period.
• We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will apply to the next billing cycle.
• In the event of a billing dispute, you must contact us within 30 days of the charge. We will review the dispute but are not obligated to provide a refund.
• Failure to pay any applicable fees may result in suspension or termination of your access to the App.

4. Intellectual Property

• The App and its content, features, and functionality are owned by Pale Blue Software Ltd or its licensors and are protected by intellectual property laws.
• You retain ownership of any content you create using the App, including invoice data and business information.
• You grant us a limited license to use, store, and process your content solely for the purpose of providing and improving the App's services.
• All trademarks, logos, and service marks displayed in the App are the property of their respective owners.

5. Acceptable Use

• Do not use the App for unlawful, harmful, or fraudulent activities.
• Do not attempt to reverse engineer, decompile, or otherwise tamper with the App.
• Do not use the App to transmit viruses, malware, or any other malicious code.
• Do not attempt to gain unauthorized access to other users' accounts or our systems.
• Do not use the App to generate invoices for illegal goods or services.
• Do not use the App in any way that violates any applicable national or international law or regulation.

6. Data and Privacy

• Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
• You are responsible for ensuring that any personal data you process through the App complies with applicable data protection laws.
• We implement reasonable security measures to protect your data, but we cannot guarantee absolute security.

7. Termination

• We may suspend or terminate your access to the App for violations of these Terms or for any other legitimate reason, with or without notice, subject to applicable law.
• You may terminate your account at any time by contacting us. However, no refunds will be provided for any unused portion of your subscription.
• Upon termination, your right to use the App will immediately cease, and we may delete your account and data in accordance with our data retention policies.
• Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property provisions, payment obligations, disclaimers, and limitations of liability.

8. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis. We disclaim all warranties to the fullest extent permitted by law, including but not limited to:

• Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the App will be uninterrupted, error-free, or completely secure.
• Any warranty regarding the accuracy, reliability, or completeness of any content or information provided through the App.

9. Limitation of Liability

• To the maximum extent permitted by law, Pale Blue Software Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
• Our total liability for any claims arising from or related to these Terms or your use of the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We are not liable for any damages resulting from unauthorized access to or alteration of your data.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pale Blue Software Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pale Blue Software Ltd is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Continued use of the App after changes take effect constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pale Blue Software Ltd regarding your use of the App and supersede all prior agreements and understandings.
